These terms govern your use of DMS, operated by Little Bits Software Limited ("we", "us", "our"). By using DMS, you agree to these terms. If you don't agree, please don't use the platform.

1. Definitions
- DMS — our platform, including all features, APIs, and documentation.
- Customer — the organisation that subscribes to DMS and manages its own account.
- User — anyone who accesses or uses DMS, including people invited by a Customer.
- Content — any data, text, files, or materials uploaded to or created within DMS.
- Services — everything we provide through DMS, including hosting, support, and updates.

3. Eligibility
To use DMS, you must:
- Be at least 18 years old (or have permission from someone who is).
- Have the authority to agree to these terms on behalf of your organisation, if applicable.
- Provide accurate information when creating an account.
4. What we provide
DMS is a SaaS platform that helps organisations manage their people, deliver content, collect feedback, and keep everything in sync.
We grant you a limited, non-exclusive, non-transferable licence to use DMS for as long as your subscription is active and you comply with these terms.
We may update, modify, or improve DMS from time to time. We'll try to give you reasonable notice of any significant changes.
5. Your account
You're responsible for:
- Keeping your login details secure.
- Everything that happens under your account.
- Making sure your Users comply with these terms and our Acceptable Use Policy.
If you think your account has been compromised, tell us straight away at [email protected].
6. Your content
You own your content. We don't claim ownership of anything you upload to DMS.
By using the platform, you give us a limited licence to host, store, back up, and display your content — only to the extent needed to provide the Services. We won't use your content for any other purpose.
You're responsible for making sure you have the rights to any content you upload, and that it doesn't violate anyone else's rights.
7. Our content and intellectual property
DMS — including its design, code, features, documentation, and branding — belongs to us (or our licensors). These terms don't transfer any ownership to you.
You may not copy, modify, reverse-engineer, or redistribute any part of DMS without our written permission.
8. Fees and payment
- DMS is a paid service. Pricing details are set out in your subscription agreement or on our website.
- Fees are payable in advance and are non-refundable unless stated otherwise.
- We may change our pricing with at least 30 days' notice. If you don't agree to a price change, you can cancel before it takes effect.
- If payment fails, we may suspend your access after giving you reasonable notice to resolve it.
All fees are exclusive of VAT, which will be added where applicable.
9. Cancellation
By you: You can cancel your subscription at any time. Your access will continue until the end of your current billing period.
By us: We may suspend or terminate your account if you:
- Breach these terms or our Acceptable Use Policy.
- Fail to pay your fees after reasonable notice.
- Use DMS in a way that could harm us, our other customers, or the platform.
We'll try to give you notice before taking action, except where we need to act immediately to protect the platform or comply with the law.
10. Your data after cancellation
When your subscription ends:
- You'll have 30 days to export your data.
- After that period, we'll delete your data from our systems in line with our Privacy Notice and any applicable Data Processing Agreement.
11. Availability and support
We aim to keep DMS available and reliable, but we can't guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible.

12. Third-party services
DMS may integrate with third-party services (such as cloud providers or analytics tools). We're not responsible for how those services operate, and your use of them may be subject to their own terms.
13. Limitation of liability
To the maximum extent permitted by law:
- We provide DMS "as is" without warranties of any kind, whether express or implied.
- We are not liable for any indirect, incidental, or consequential damages arising from your use of DMS.
- Our total liability to you in any 12-month period will not exceed the amount you paid us during that period.
Nothing in these terms excludes or limits our liability for:
- Death or personal injury caused by our negligence.
- Fraud or fraudulent misrepresentation.
- Any other liability that cannot be excluded by law.
14. Indemnity
You agree to indemnify us against any claims, losses, or damages arising from:
- Your breach of these terms.
- Your content.
- Your use of DMS in a way that infringes someone else's rights.
15. Changes to these terms
We may update these terms from time to time. We'll notify you of material changes at least 30 days in advance by email or through the platform.
If you continue to use DMS after the changes take effect, you're agreeing to the updated terms. If you don't agree, you can cancel your subscription.
16. General
- Governing law: These terms are governed by the laws of England and Wales.
- Disputes: Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
- Entire agreement: These terms, together with our other policies, form the entire agreement between you and us.
- Severability: If any part of these terms is found to be unenforceable, the rest will continue to apply.
- No waiver: If we don't enforce a right under these terms, that doesn't mean we've waived it.
- Assignment: You may not assign your rights under these terms without our consent. We may assign ours at any time.
